Constitution
For the Little League of
Everett
Article 1
Name:
The name of this organization
shall be known as the “Everett Little League, Incorporated”.
Article 2
Objective
Section 1. The objective of the Everett
Little League shall be to implant firmly in the youth of the community the
ideals of good sportsmanship, honesty, loyalty, courage and respect for
authority, so that they may be well adjusted, strong and happier youth and will
grow up to be good, decent, healthy and trustworthy citizens.
Section 2. To achieve this objective, the
Everett Little League will provide a supervised program of competitive baseball
games under the rules and policies of the Everett Little League and of the
Little League Baseball Incorporated, Williamsport PA. All directors, officers, managers, coaches and members shall bear
in mind that the attainment of exceptional athletic skill or the winning of
games is secondary and the molding of future citizens is of prime importance.
Article 3
Membership
Section 1 Any person sincerely interested
in active participation to affect the objectives of the Everett Little League
may apply for membership.
Section 2
There shall be the following classes of Members:
(a) Player Members: Any player
candidate meeting the requirements of Little League
Regulation IV shall be
eligible to compete for participation. Player members shall
Have no rights, duties or
obligations in the management or in the property of the
Local League.
(b) Regular Members: Any adult person
actively interested in furthering the objectives
Of the local League may
become a Regular Member upon election and payment of
Dues (to be determined) as
hereinafter provided. Regular members may be issued a card numbered in
Sequential order annually. The secretary shall maintain the roll of
membership to qualify voting members.
Only Regular members in
good standing are eligible to vote at General Membership
Meetings. All Officers,
Board members, Committee Members, Managers, Coaches
and other elected or appointed officials must be regular members
in good standing.
NOTE: Regular Members of the league
automatically include all current Managers,
Coaches, Board
Members, Officers of the Board and any other person who is
recognized by the Board as a volunteer in
the Local League, including those
volunteers with
the following titles (Team parent, Concession, etc.). These members
are not subject to
the dues stated above.
Section 3
Suspension
Section 1. Membership may be terminated by resignation or action of the Board of Directors.
(a) The Board of Directors, by a two-thirds vote of its entire voting membership, shall have the authority to discipline, suspend, or terminate the membership of any member when the conduct of such person is considered detrimental to the best interests of the Everett Little League or Little League Baseball Incorporated.
(b) Any charges or complaints brought against a member must be in writing, signed and presented to a member of the Board of Directors. The matter will be reviewed either at the next scheduled Board meeting or, if warranted, a special meeting will be called.
(c) The member involved, 1) shall be notified of such meeting at least 72 hrs ahead of time, 2) informed of the nature of the charge and 3) given an opportunity to appear at the meeting to answer such charge.
(d) The person or persons making such charge will be invited to be present at the meeting.
(e) The Board of Directors shall, in the case of a player, 1) give notice to the player involved, the player’s parent, and the player agent, of the nature of the charge. 2) Provide an opportunity to appear at a meeting to answer such charge with the player agent present to insure that the rights of the player have not been violated. The Board of Directors shall have the full power to suspend or revoke such player’s rights to future participation.
Article 4
Dues for Regular Members:
Section 1 Dues for Regular members may be fixed at such amounts as the Board of Directors shall
determine for a particular fiscal year. Note: Table this issue for 2008 season
Article 5
Meetings
Section 1 A regular monthly meeting of the Board of Directors shall be held each month in the months of September through July inclusive at such time and place as the President shall direct. At the regular meeting there will be agenda items that will consist of the topics presented to the Secretary the last Friday before the meeting.
Section 2 Special meetings may be called by the Board of Directors or President at their discretion. Upon the written request of five members, the President shall call a special meeting to consider a specific subject. No business other than that specified in the notice of the meeting shall be discussed at any special meeting.
Section 3 The annual meeting of the Board of Directors shall be held in the month of September for the purpose of electing officers and members of the Board of Directors.
Section 4 A majorities of the voting members shall constitute a quorum.
Section 5 Roberts Rules of Order shall govern the proceedings at all meetings. (unless pre-empted by your Constitution...Ex. quorums defined, number of board members, officers, etc.)
Section 6 Only Board and Regular Members may vote at any regular meeting.
Article 6
Board of Directors
Section 1 The management of the property, activities and affairs of the Everett Little League shall be vested in the Board of Directors. The number of directors shall not be less than six (6), nor more than fifteen (15).
Section 2 The Directors shall continue in office until September 30th and their successors shall enter upon the performance of their duties on October 1st.
Section 3 If any vacancy occurs, it may
be filled by a majority vote, by any Regular Member at any regular meeting or
special meeting if one is so needed.
Section 4 The Board of Directors shall consist of at minimum:

Vice President
Treasurer
Player Agent
Secretary
Safety Officer
Additional positions may include, but not be limited to:
Umpire in Chief
Major league Director
Minor League Director
Farm League Director
Tee-Ball League Director
Equipment Director
Information Officer
Public Relations
Parents Auxiliary
Section 5 The Board of Directors shall have the power to provide for the organization of teams.
Article 7
Managers and Coaches Committee
Section 1 The respective League Directors will investigate prospective managers and coaches annually and recommend acceptable candidates to the Board of Directors.
No one person
may manage more than 1 (one) team inside an Everett Little League division. Unless at the request of the President and
only in a hardship for a limited time can a manager be appointed manager of
another team in another division within ELL.
However a manager may manage one team and help coach another as long as
responsibilities to the primary team are not negatively affected.
Section 2 The respective League Directors shall, during the playing season, observe the conduct of the managers and coaches and report its findings to the President of the League.
Section 3 The respective League Directors shall, at the request of the President, investigate complaints concerning managers and coaches and report their findings to the Board of Directors.
Article 8
Rules Committee
Section 1 The rules committee to consist of:
President----Player Agent----Umpire in Chief
If a
conflict of interest arises due to the Umpire in Chief serving as a manager or
coach involved in the protest, an unaffiliated Board member will be chosen by
the President to temporarily serve on the committee. A
person who manages, coaches, or umpires cannot serve on the protest committee
Protests must be settled by the next game.
Article 9
Finances
Section 1 A bank account shall be set up under the dual control of the President and the Treasurer.
Section 2 A checking account to be held and all monies deposited in the name of the Everett Little League, Incorporated.
Section 3 All checks drawn on or against the Everett Little League shall be signed by both the President and Treasurer jointly.
Section 4 Cash flow statement and bank balance shall be up to date at all times and shall be immediately available upon request. Fiscal year end reports shall be available to President by the second Monday in October.
Article 10
Officers’ Duties
President
Section 1 He/She shall be responsible for conducting the affairs of the Everett Little League and for executing the policies established by the Board of Directors.
Section 2 He/She shall preside over all meetings and shall have general and active management of the activities of the Everett Little League including the making of decisions presented to him by the members.
Section 3 Will participate in the arrangement and actions of the Rules committee when commenced.
Vice President
Section 1 In case of the death, absence or the inability of the president to perform the functions of his/her office the Vice President shall assume his/her prerogatives and duties for all purposes. The Vice President will assist the President in his duties.
Section 2 The Vice President shall be chairperson of all committees.
Section 3 Organize the fund raising committee.
Secretary
Section 1 The Secretary shall be responsible for recording the activities of the Everett Little League, for maintaining files, mailing lists and all necessary records. The Secretary shall prepare and preserve minutes of the proceedings and shall perform such other duties as may be requested by the President and Board of Directors.
Treasurer
Section 1 The Treasurer shall perform such duties as are herein specifically set forth and such other duties as are customarily incident to the office of Treasurer
Section 2 The Treasurer shall receive all monies and deposit same in a depository approved by the Board of Directors.
Section 3 The Treasurer shall keep records for the receipt and disbursement of all monies of the Everett Little League.
Section 4 The Treasurer shall render to the President and to the Board of Directors at the regular meetings of the Board of Directors and whenever requested by them, an account of all the transactions as Treasurer and of the financial condition of the Everett Little League.
Director of Safety and Training
Section 1 The Director of Training and Safety is responsible for management, distribution and policing the Everett Little League Safety Manual.
Section 2 The Director of Training and Safety is responsible for supplying the latest training techniques to Managers, Coaches and Players.
Section 3 Periodic visits to all fields to correct any and all safety violations.
Section 4 The Director of Training and Safety along with the Equipment Director will set up a meeting place where all managers, from all leagues, will bring their equipment in for inspection/replacement once a year prior to the start of the season.
Player Agents
Section 1 The player agent shall record all player transactions and maintain an up to date record thereof.
Section 2 The Player Agent shall receive and review applications for player candidates and assist the President in checking residence and age eligibility.
Section 3 The Player Agent shall conduct the player draft and all other player transactions.
Section 4 The Player Agent shall prepare the player agents list and administer the player pool.
Section 5 The Player Agent shall prepare for the Presidents signature and submission to the Little League Headquarters all team rosters.
Section 6 Will participate in the Rules Committee when they commence.
Equipment Manager
Section 1 The Equipment Manager shall secure all needed supplies and equipment for distribution to the various teams.
Section 2 The Equipment manager along with the director of safety will set up a meeting place where all managers, from all leagues, will bring their equipment in for inspection/replacement once a year prior to the start of the season.
Umpire in Chief
Section 1 The Umpire in Chief shall organize and assign umpires to all games and guarantee that all said games be covered.
Section 2 Will participate in the Rules Committee when they commence.
Major League Director
The Major League Director shall be responsible for the overall operation of the Major League.
Minor league Director
The Minor League Director shall be responsible for the overall operation of the Minor League.
Farm League Director
The Farm League Director shall be responsible for the overall operation of the Farm League.
T-Ball Director
The T-Ball League Director shall be responsible for the overall operation of the T-Ball League.
Public Relations
The Public Relations officer shall make the program known in the community and to help earn for it the respect and support essential to successful administration.
Concessionaire:
Administration and operation of the concession stand.
